Liquidation Process Explained

  • On Tuesday, 14 June 2022, the Business Rescue Practitioners (BRP) of Comair brought an application to provisionally place Comair under liquidation. The BRP being of the view that this was best for the ailing business in order to preserve its current assets worth around R3,5 billion. As mentioned above, the interim order was granted on 14 June 22. All affected parties will have until 26 July 22 to oppose the application (by opposing the application they are claiming that the provisional order should not be made a final order). Once the order has been made final, it will confirm that Comair has been liquidated.

  • In many instances, the practice is that the initial application to court is for a provisional order of winding-up (this took place on 14 June 2022) and then on the return date application is made for the final order of winding up the estate of the insolvent airline (this is set to take place on or about 26 July 2022). Upon the order being made final, a meeting of creditors will be called for in order for Creditors to lodge their claim against the insolvent estate.

Liquidation Scenario:

Creditors who have no collateral or security on their debt are ranked in Priority, as determined in terms of the Insolvency Act. In this regard there are Secured Creditors, Preferential Creditors and Concurrent creditors.

  • Secured Creditors:

This would refer to Companies that have loaned money to Comair and secured a form of security for the debt or continued to provide crucial services to Comair whilst under business rescue (such services would have been crucial to the continued operation of the airline throughout the Business Rescue process).

  • Preferential Creditors:

Preferred creditors are creditors who do not hold any security for their claims, but who are entitled to the proceeds of estate assets in preference over other unsecured creditors. These would refer to creditors who are next in line to be paid, after the Secured creditors.

  • Concurrent Creditors (this would be customers of Comair)

Concurrent creditors are the creditors who do not have any security for their claims and who are not entitled to payment of the proceeds in preference to other creditors. These creditors rely on the balance of the free residue in the insolvent estate, after payment of all preferent creditors and costs. The concurrent creditors are last in line for payment. The payment of the concurrent creditors is made on a pro rata basis based on what remains of the free residue.

Virus prevention tips

International travel opens new avenues for outbreaks. Travellers should be doing everything in their power to protect themselves and to prevent the spread of the virus. Here are some safe travel precautions:

Basic hygiene can help limit the risk of catching respiratory viruses such as COVID-19:

  1. Cover your mouth when sneezing and coughing.
  2. Don’t put your hands to your mouth before washing them.
  3. Regularly and thoroughly wash your hands with warm water and soap.
  4. Avoid touching your eyes and nose.

It is in airlines’ interest to limit crew and passengers’ exposure to coronavirus. Airlines have enacted enhanced sanitization programmes including:

  • Thorough cleaning and sterilisation processes. Planes arriving from high-risk areas receive additional deep cleaning such as disinfectant fogging.
  • High-touch surfaces such as tray tables, handsets and inflight entertainment screens are cleaned with disinfectant wipes.
  • All headsets, headrest covers, pillow covers, bedsheets and blankets are replaced after every flight sector.
  • Advanced air filtration systems such as High Efficiency Particulate Air (HEPA) filters ensure cabin air is disinfected. Constant airflow ensures that the cabin air is refreshed everytwo to three minutes.
  • Crew are subject to pre-flight temperature screening.
